We will see...on the surface that is what the filing seems to be saying.

On the other hand, a lawsuit by the Japanese SEC on reporting of stock ownership was mentioned based on which Olympus was fined.
The sale of 40K of Cytori stock appears to be done to come under the 5% level. Next steps unknown, other than will be sold in the future.

Main thing is-

Olympus is no longer a "related party".

Anything else is open, one can do business with related and unrelated parties.... :cool:

I guess if you want a silver lining maybe the fistula application is now being offered to others.

Otherwise....no need to mention you are going to sell unless you intend to....but I do agree no hard timeline has been set.

We get a pop in PPS and they will be selling imho.

Neither or.

To me it looks like a reporting technicality. Olympus has been shareholder for 9 years or so and paid between 10 and 6,5+ $ for their shares. You think they are so cash strapped to raise 4 Mio ( or probably less) from those holdings???

So they sold 40K shares to get under the 5% filing reg.
Many major holders of companies do this. Normal practice in selling off a large position. Lets forget that part.

Why not just comply with the filing rules ?

No matter what Cytori will soon issue more shares imho and they will be diluted below 5% anyway. Heck...year end bonuses will do it. That means this would be the last or perhaps next to last filing anyway. Selling 40K just so they dont have to file just makes little sense to me. They dont need 4 million but they dont want the filing expense ? All possible but just doesnt pass it with me.....but hey...maybe I am wrong.

Hedge.

Large Japanese Companies year-ends are March 31.

I assume Olympus omitted to report its >5% holding in Cytori in its 10K probably filed in May 2014 sometime.

You than either do something like they did and report upon a minor subsequent event (without having to reprint the Annual Report) or re-submit a 10K with all its nasty consequences.

Yes...I read all of that this morning and reread it just now.
This goes back years and the fine was July 2013.
Just fixing now and no restatements as you say ????? OK I guess.

As fishy as stopping your lead funded trial and not telling anyone for 2 months if you ask me.

Cytori and Olympus would have been exellent partners...LOL ! :KO: :bash: :grin:

Yes - they would have been excellent partners....lol.

From a business perspective Olympus- owning rights to the fibroblast growth factor spray FGF-2 and Terudermis (collagen matrix) still needs living cells for their biologics venture..

And Cytori - they other way around. :grin: :whistle:
